Baker McKenzie, Homburger, Linklaters, Khaitan Act On AURELIUS’ Acquisition Of Landis+Gyr’s EMEA Business

Baker McKenzie, Homburger, Linklaters and Khaitan & Co advised on AURELIUS’ acquisition of Landis+Gyr’s EMEA business.

AURELIUS has acquired the Europe, Middle East and Africa (EMEA) business of Landis+Gyr as part of a global carve-out transaction involving the transfer of Landis+Gyr’s EMEA operations.

The transaction included the carve-out and transfer of the company’s full metering portfolio for residential electricity, ICG electricity, gas, thermal and water, together with integrated software and services solutions, five production sites and approximately 2,800 employees across the region.

Baker McKenzie advised AURELIUS on the transaction, including various legal and tax matters associated with the acquisition.

The international team was led by M&A Partners Dr. Jakub Lorys, and Alexander Fischer, while the Swiss team was headed by M&A Partner Matthias D. Trautmann.

The Swiss team included Partners Susanne Liebel-Kotz, Roger Thomi, Christoph Stutz, and Boris Wenger, and Associates Cathrin Marxer, Nadine Charrière, Johanna Moesch, Christophe Reitze, Sammy Guidoum, Zarina Füglister, Jan Lusti, Andreas Becker, Caroline dos Santos, Kiara Sharifi, Anna Zellweger, Felix Maier and David Rohner.

Homburger advised Landis+Gyr on the divestiture of its EMEA business to AURELIUS.

The Homburger team was led by Daniel Hasler (Corporate / M&A) and included Anna Peter, Patrick Schmidt, Nicola Togni, Luc Huber and Fabia Starkermann (all Corporate / M&A); Gregor Bühler, Philippe Baumann and Joel Fink (all IP / IT); Reto Heuberger, Philippe Weber and Juliette Buob (all Tax); Peter Müller (Pension); Richard Stäuber (Competition); and Jürg Frick and Stefan Bindschedler (both Financing).

Linklaters also advised Landis+Gyr on the global transaction.

The transaction involved Partner Matthew Devey and Associate Juliane Kwasniok.

Khaitan & Co advised Landis+Gyr AG on the divestiture of its EMEA business in India to AURELIUS Group.

The core team comprised Rabindra Jhunjhunwala, Roshnek Dhalla, Sayani Bhattacharyya and Apurva Singhi, with assistance from Deepak Kumar (Employment law), Mayank Jain (Indirect Tax) and Anshuman Sakle and Soham Banerjee (Competition law).

The firms worked in conjunction with Landis+Gyr’s in-house legal team led by Group General Counsel Holger Klafs, including Destina Akman – Joubin and Amy Clapton.
