Hogan Lovells, GPBL, Kirkland, Akerman Act On Angelini Pharma’s Acquisition Of Catalyst Pharmaceuticals

Hogan Lovells, Gatti Pavesi Bianchi Ludovici (GPBL), Kirkland & Ellis and Akerman advised on Angelini Pharma’s US$4.1 billion acquisition of Catalyst Pharmaceuticals.

Angelini Pharma has agreed to acquire Catalyst Pharmaceuticals (Nasdaq: CPRX) for US$31.50 per share in cash, representing a total equity value of approximately US$4.1 billion.

Following completion of the acquisition, Angelini Pharma intends to integrate Catalyst’s portfolio and commercial infrastructure with its Brain Health platform to develop a next-generation therapeutic platform focused on rare diseases. The transaction is expected to strengthen Angelini Pharma’s presence in the United States while complementing its core European operations.

The transaction has been unanimously approved by the boards of directors of both companies and is expected to close in the third quarter of 2026, subject to customary closing conditions and regulatory approvals.

Hogan Lovells is advising as legal counsel to Angelini Pharma on the transaction.
