CAM, Trilegal Advised On Anzen India’s Acquisition Of KTL

Cyril Amarchand Mangaldas (CAM) and Trilegal have advised on Anzen India Energy Yield Plus Trust’s acquisition of 100% of the shareholding of Kudgi Transmission Limited (KTL) from Infrastructure Yield Plus II, Infrastructure Yield Plus IIA and India Infrastructure Yield Plus II.

KTL owns, operates and maintains the Kudgi Transmission Line, an interstate transmission network established to facilitate power evacuation from NTPC’s Kudgi Thermal Power Plant in Karnataka. The transaction was structured through a combination of unit swaps in Anzen India Energy Yield Plus Trust and cash consideration, with the final purchase consideration subject to closing adjustments.

Cyril Amarchand Mangaldas acted as buyer’s counsel to Anzen India Energy Yield Plus Trust, represented by its trustee Axis Trustee Services Limited and investment manager EAAA Real Assets Managers Limited.

The transaction team was led by Partner Manasvini Raj, with support from Associates Saurabh Sharma, Sushmitha Ramkumar and Pratima Barde, and Consultant Smruti Poola.

Disputes-related diligence support was provided by Partner Manmeet Singh and Senior Associate Sadhvi Kumar.

Trilegal advised the sellers, Infrastructure Yield Plus II, Infrastructure Yield Plus IIA and India Infrastructure Yield Plus II, acting through their investment manager EAAA India Alternatives Limited, on the transfer of 100% of the shareholding of Kudgi Transmission Limited to Anzen India Energy Yield Plus Trust.
