Paul, Weiss, Kirkland & Ellis Act On AbbVie’s $10.9 Bn Acquisition Of Apogee Therapeutics

Paul, Weiss and Kirkland & Ellis advised on AbbVie’s acquisition of Apogee Therapeutics in an all-cash transaction valued at approximately US$10.9 billion.

Under the terms of the agreement, AbbVie will acquire all outstanding shares of Apogee for US$135.11 per share in cash. The acquisition complements AbbVie’s existing immunology portfolio and expands its clinical presence in the respiratory disease space. The boards of directors of both companies unanimously approved the transaction, which is expected to close in the third quarter of 2026, subject to shareholder and regulatory approvals and other customary closing conditions.
