Shardul Amarchand Mangaldas & Co. (SAM) and Cyril Amarchand Mangaldas (CAM) advised on vivo Mobile India and Dixon Technologies’ 49:51 joint venture.

Vivo Mobile India Private Limited and Dixon Technologies (India) Limited are forming a 49:51 joint venture through the incorporation of a new company to undertake original equipment manufacturing of electronic devices, including smartphones, in India.

Dixon will hold a 51% stake and vivo Mobile India will hold 49% in the joint venture company. At closing, the joint venture company will purchase certain manufacturing assets of vivo Mobile India and will undertake manufacture of part of vivo’s OEM smartphone orders in India, while also being able to engage in OEM business for other brands.

SAM advised vivo Mobile India Private Limited in relation to the formation of the joint venture.
