TT&A, Linklaters Act On Vedanta’s $400M Tap Issuance Of Senior Secured Bonds

Talwar Thakore & Associates and Linklaters advised on Vedanta’s US$400 million tap issuance of senior secured bonds.

Vedanta Resources Finance II plc issued US$400 million of senior secured bonds by way of a tap issuance of an earlier issue.

The issuance comprised a further issuance of US$125m 7.000% bonds due 2032, US$50m 7.375% bonds due 2034 and US$225m 7.750% bonds due 2037. Each tranche issued in connection with the tap will be consolidated with, and form a single series with, the corresponding tranche issued by Vedanta Resources Finance II plc in July of 2026.

The bonds were issued pursuant to Rule 144A and Regulation S under the US Securities Act and are listed on the Singapore Exchange Securities Trading Limited. Proceeds from the issuance of the new bonds will be used by Vedanta to refinance some of its outstanding bonds.

TT&A advised Citigroup Global Capital Markets Inc., Barclays, Deutsche Bank, Singapore Branch, First Abu Dhabi Bank (FAB), J.P. Morgan Securities plc, Mashreq, SMBC Nikko Securities Inc. (Hong Kong) Limited, and Standard Chartered (acting together as the joint coordinators and managers) in relation to the issue of the Bonds by Vedanta Resources Finance II plc, a subsidiary of Vedanta Resources Limited.

The team comprised Partner Priyanka Kumar, Managing Associate Saara Ahmed and Associate Medha R. Lakshmi.

Linklaters also advised the joint global coordinators and managers on Vedanta Resources Finance II plc’s US$400m tap issuance of senior secured bonds, guaranteed by Vedanta Resources Limited and certain of its subsidiaries.
