AZB & Partners represented CleanMax Enviro Energy Solutions Limited (CleanMax) Promoter Group (Mr. Kuldeep Jain and affiliates) of CleanMax, for promoters’ acquisition of additional stake in CleanMax from Brookfield Renewables, Augment Infrastructure, and Impact Fund Denmark (IFU – DSDG).

AZB also represented CleanMax on their structured acquisition financing from 360 One Prime Limited for the proposed acquisition by the promoter group of CleanMax.

CleanMax is a leading renewable energy solution provider in C&I sector and is backed by marquee investors such as Brookfield Renewables, Augment Infrastructure, and Impact Fund Denmark (IFU – DSDG). CMES is one of India’s largest commercial and industrial renewable energy providers and delivers net zero and decarbonization solutions, including supplying renewable power and energy services.

Saraf and Partners represented DSDG Holdings ApS (DSDG), on the sale of a portion of its equity shareholding held by it in CleanMax Enviro Energy Solutions Limited (“CMES”) to the Founder Group.

Under the transaction, entities held by the Founder Group of CMES acquired a portion of the equity shares from DSDG and other investors, including BGTF One Holdings (DIFC) Limited and Augment India I Holdings, LLC.

The firm advised DSDG on all aspects of transactions, including the review and finalization of the share purchase agreements, amended shareholders’ agreement, inter-se agreement and waivers in respect of the facilities agreement being entered into by the Founder Group.
