Trilegal and Cyril Amarchand Mangaldas (CAM) advised on Indus Infra Trust’s proposed acquisition of four road sector special purpose vehicles (SPVs) from KNR Constructions Limited, for a total consideration of approximately ₹1,543 crore.
The SPVs, KNR Palani Infra Private Limited, KNR Guruvayur Infra Private Limited, KNR Ramagiri Infra Private Limited, and KNR Ramanattukara Infra Private Limited, own and operate road projects under the Hybrid Annuity Model (HAM) across the states of Tamil Nadu, Andhra Pradesh, and Kerala.
Trilegal advised Indus Infra Trust on all aspects of the transaction, including legal due diligence of the SPVs, drafting, negotiation and finalisation of the share purchase agreements, and ongoing assistance on closing matters.
