Latham, SAM, Argus Advised On Apollo & Tega’s $1.45 Bn Acquisition Of Molycop

Latham & Watkins, Shardul Amarchand Mangaldas & Co (SAM), and Argus Partners advised on Apollo and Tega’s US$1.45 billion acquisition of Molycop.

The transaction also included the formation of a consortium arrangement between Apollo and Tega and the related acquisition financing.

As a result of the acquisition, Tega will become a leading player in the mining sector, with the combined entity operating 26 manufacturing facilities globally at a time of accelerating mineral demand.

Latham & Watkins advised Apollo Global Management, Inc. And Tega Industries Limited on the US$1.45 billion acquisition of Molycop, a leading global supplier of grinding media for the mining industry, from American Industrial Partners.

The Latham team was led by corporate Partner James Clayton-Payne with support from partners Justin Rosenberg, Nicholas Luongo, and Marc Granger. Additional advice was provided by partners Manu Gayatrinath and Melissa Fabian (finance), Katharine Moir (tax), Joshua Marnitz (ESG), Morgan Brubaker (DTT), Dara Denberg (real estate), and David Brenneman (antitrust).

SAM advised Apollo on the joint venture formation and acquisition. The SAM team comprised Partners Gunjan Shah and Nirmal Mahatani, Principal Associate Siddharth Damle and Associate Oorja Chari. Partner Rohan Arora advised on antitrust matters.

Argus Partners advised Tega Industries on the joint venture formation and, together with Latham, advised the joint venture on the acquisition.

The Argus team was led by Managing Partner Krishnava Dutt and Partner Armaan Patkar, supported by Principal Associate Jaidrath Zaveri and Associates Kanishk Gambhir, Vishakha Somani and Srishti Solanki.
