Linklaters, CAM, Clifford Chance, TT&A Act On ReNew’s $600 Mn GIFT City Green Bond Issuance

Linklaters, Cyril Amarchand Mangaldas (CAM), Clifford Chance, and Talwar Thakore & Associates (TT&A) advised on ReNew’s US$600 million debut GIFT City green bond issuance.

The notes are guaranteed by ReNew Energy Global plc and ReNew Private Limited. The transaction marks the first-ever international bond issuance by an entity incorporated in GIFT City (Gujarat International Finance Tec-City), and the first US dollar-denominated bond issuance by a finance company registered in India’s offshore financial hub. The offering attracted strong demand from institutional investors across Asia, the United Kingdom and the United States.

ReNew is a Nasdaq-listed decarbonisation solutions company and one of India’s largest renewable energy producers, with a diversified clean energy portfolio spanning generation, storage and digital energy solutions.

Linklaters acted as international counsel to ReNew in connection with the Rule 144A / Regulation S green bond issuance.

The team was led by Partner and Head of India Practice Amit Singh and Capital Markets Partner Michele Discepola, supported by Counsel Magdalena Biereder and Senior Associate Alex Cui.

Cyril Amarchand Mangaldas acted as domestic legal adviser to ReNew in connection with the issuance.

Clifford Chance advised the joint global coordinators and joint bookrunners on the transaction.

The banks included Barclays, BNP Paribas, Deutsche Bank, HSBC, J.P. Morgan, MUFG and Standard Chartered Bank as joint global coordinators and bookrunners, alongside Crédit Agricole CIB, DBS Bank and SMBC Nikko as joint bookrunners.

The team was led by Partner Alan Yeung, supported by Counsel Stephanie Liman, Associate Jun Kai Choo and Trainee Solicitor Alfie Harvey-Shipp.

Talwar Thakore & Associates acted as Indian law counsel to the joint global coordinators and joint bookrunners.
