TozziniFreire acted as Brazilian counsel to the underwriters in connection with Azul S.A.’s equity rights offering launched on February 3, 2026, as part of the implementation of the company’s Chapter 11 restructuring plan. The transaction was conducted on a cross-border basis under Rule 144A and Regulation S and raised approximately R$ 4.987.045.576,68 (equivalent to USD 950.000.000,00), making it one of the largest and most complex equity offerings by a Brazilian issuer in recent years.
