A&O Shearman, Winston Advised On Puratos’ Acquisition Of Dawn Foods Global

A&O Shearman and Winston & Strawn LLP advised on Puratos’ acquisition of Dawn Foods Global.

Belgium-based Puratos has signed a definitive agreement to acquire U.S.-based Dawn Foods Global, combining two long-standing, family-owned companies with more than a century of experience in professional bakery.

The combination pairs Dawn’s application-led creativity in sweet baked goods and its strong North American distribution network with Puratos’ research and development-led ingredient technology across bakery, patisserie, and chocolate in 87 countries. The transaction is expected to close by the end of 2026, subject to customary regulatory approvals.

A&O Shearman acted as legal advisor to Puratos.

The A&O Shearman team for the M&A work was led by partners Dirk Meeus and Lara Aryani, with senior associate Esther Remy and associate Mara Goodman. The antitrust team was led by partners Dirk Arts and Noah Brumfield, with counsel Eliana Paredis. The financing team was led by partners Yves Van Pul and Michael Steinberg.

Winston & Strawn LLP advised Dawn Foods in connection with its sale to Puratos.
