CAM, SAM, Khaitan, Latham & Watkins Act On Dhoot Transmission’s ₹3067 Cr IPO

Cyril Amarchand Mangaldas (CAM), Shardul Amarchand Mangaldas (SAM), Khaitan & Co amd Latham & Watkins advised on Dhoot Transmission’s ₹3,066.89 crore IPO.

Dhoot Transmission Limited, a Bain-controlled electrical and electronics company, completed its initial public offering of 35,218,047 equity shares aggregating to ₹30,668.85 million (approximately ₹3,066.89 crore). The IPO comprised a fresh issue of 16,080,445 equity shares aggregating to ₹14,000 million and an offer for sale of 19,137,602 equity shares aggregating to ₹16,668.85 million. The offer was subscribed 74.21 times overall, with the QIB portion subscribed 212.92 times. The shares were listed on BSE Limited and the National Stock Exchange of India Limited on 17 August 2026.

CAM advised Dhoot Transmission Limited, a Bain-controlled entity, as Indian legal counsel to the Company in connection with its IPO.

The transaction team was led by Partners Manan Lahoty (Head – Capital Markets), Abhiroop Lahiri and Amitpal Singh, with support from Senior Associate Dhawal Nirash; Associates Vatsala Parashar, Krishanu Paul and Simran Sharma. Partner Rohan Roy, with support from Senior Associate Shefali Murthy and Associate Amartya Mukherjee, advised on general corporate aspects. Partner Bharath Reddy, with support from Principal Associate Dipti Khatri, advised on employment aspects.

SAM acted as Indian legal counsel to BC Asia Investments XV Limited (Bain Capital), the corporate promoter selling shareholder, in connection with Dhoot Transmission’s IPO.

The Capital Markets team comprised Partners Nikhil Naredi and Manjari Tyagi, Senior Associate Jheel Bhargava, Associate Bhumika Panigrahi.

Khaitan & Co acted as legal counsel to the book-running lead managers in connection with Dhoot Transmission’s IPO. The BRLMs were Axis Capital Limited, Jefferies India Private Limited, Kotak Mahindra Capital Company Limited, Nomura Financial Advisory and Securities (India) Private Limited, SBI Capital Markets Limited and 360 ONE WAM Limited.

The core team consisted of Partners Subhayu Sen and Aayush Mohata, Principal Associate Johann Valladares; Senior Associates Sarjana Das and Aayush Virani, Associates Harshit Singh, Hrishi Kapadia and Aryan Agarwal.

Latham & Watkins acted as the sole international counsel to the Book Running Lead Managers (BRLMs) The transaction team was led by Partners Rajiv Gupta in Singapore and Dominik Sklenar in Hong Kong. Team members comprised Singapore counsel Esha Goel, associate Kay Howe Lee, and foreign legal consultants Neha Sahgal and Jayati Arora. Chicago partner Enrique Rene de Vera, with associates Sam Yang and Ethan Lee, advised on tax matters.
