Cloudflare, Inc. completed a Rule 144A offering of $2.5 billion aggregate principal amount of 0% convertible senior notes due 2031, including $325 million aggregate principal amount of notes issued pursuant to the exercise in full of the initial purchasers’ option to purchase additional notes. The notes were issued on August 13, 2026. Cloudflare intends to use a portion of the net proceeds to fund the cost of related capped call transactions, with the remainder for general corporate purposes, including potential acquisitions and strategic transactions.
