Debevoise & Plimpton, Davis Polk, Reed Smith, Kirkland & Ellis Act On CD&R & McKesson’s $5.8B Acquisition Of Option Care Health

Debevoise & Plimpton, Davis Polk, Reed Smith and Kirkland & Ellis advised on CD&R and McKesson’s US$5.8 billion acquisition of Option Care Health.

CD&R and McKesson Corporation agreed to acquire Option Care Health, Inc. For a total enterprise value of approximately US$5.8 billion.

At the closing of the transaction, CD&R will hold a majority ownership interest of 51%, and McKesson will hold a minority ownership interest of 49%. Option Care Health will remain a separate company led by its own management team. The transaction is expected to close in the first half of calendar year 2027, subject to customary closing conditions, including approval by Option Care Health’s stockholders and the receipt of required regulatory approvals.
