Freshfields Advised Supermicro On $2.3 Billion Convertible Notes Offering

Freshfields advised Super Micro Computer, Inc. (“Supermicro” or the “Company”) on its offering of $2.3 billion aggregate principal amount of 0.00% Convertible Senior Notes due 2030 (the “Notes”). The Notes include $300 million aggregate principal amount of Notes issued pursuant to the exercise in full of the initial purchasers’ option to purchase additional Notes. The Notes will be convertible into cash, shares of Supermicro’s common stock, or a combination thereof, at Supermicro’s election. In addition, Freshfields advised Supermicro in connection with the capped call transactions entered into in connection with the offering.
