Freshfields, AZB, Lenz & Staehelin, Advestra, Homburger Advised On Reitger AG’s Acquisition Of Barmag

Freshfields, AZB & Partners, Lenz & Staehelin, Advestra, and Homburger advised on Rieter AG’s acquisition of Barmag from OC Oerlikon.

Freshfields advised Rieter AG, a leading supplier of manufacturing yarns from stable fibers, on its acquisition of Barmag from OC Oerlikon at an enterprise value of CHF 850m.

Barmag is a leading provider of filament spinning systems for the production of manmade fibers, as well as texturing machines, BCF systems, staple fiber spinning solutions, and nonwoven technologies. In addition, as an engineering services provider, Barmag delivers comprehensive solutions across the textile value chain. The strategic acquisition of Barmag will position Rieter AG as a leading supplier in the transformation of both natural and manmade fibers into yarn.

Freshfields acted as advisor to Rieter AG in cooperation with StrongerTogether partner firm Lenz & Staehelin in Zurich. The Freshfields team was led by Partner Heiner Braun (Frankfurt) and Principal Associate Bastian Schuster (Munich).

AZB & Partners represented Rieter Holding AG in securing an unconditional approval from the Competition Commission of India for the acquisition of the ‘barmag textile machinery business’ from OC Oerlikon Corporation AG, Pfäffikon.

The competition team was led by Partner Kirthi Srinivas, and Associates Ashna Mahajan and Varnika Agarwal.

Homburger advised OC OERLIKON on the divestment of its Barmag Textile Machinery Business for Manmade Fiebees to Rieter.

Upon closing of this transaction, Oerlikon will become a distinct global pure-play surface technology company, serving a broad base of customers in demanding industries – from automotive, aerospace and energy to luxury, medical, defense and semiconductors – with a toolbox of high-tech surface technologies.

The Homburger team was led by Daniel Hasler (Corporate / M&A) and included Anna Peter, Nicola Togni, Simone Schmid, Oliver Kneubühl, Matthias Müller, Yannick Reber, Fabio Gasser and Raphael Linder (all Corporate / M&A), Dieter Grünblatt and Peter Müller (both Tax), Richard Stäuber and Nicolas Stocker (both Competition), Lorenzo Togni (Capital Markets) as well as Jürg Frick (Financing and Investment Products).

Advestra advised UBS on all aspects of the volume underwriting, the capital increases, and the bridge loan facility in connection with the acquisition financing.
