JSA and  M Mulla Associates advised on Allied Blenders’ acquisition of NICOL distillery facility.

Allied Blenders and Distillers Limited has acquired a distillery and bottling facility in Moradabad, Uttar Pradesh from National Industrial Corporation of India Private Limited. The transaction involved the transfer of land, buildings, plant, and machinery associated with the facility, along with the transfer of relevant operational licences.

The acquisition is expected to strengthen Allied Blenders’ Indian Made Foreign Liquor (IMFL) bottling capacity in Uttar Pradesh and support the expansion of its distillery operations as part of the company’s broader growth strategy to enhance manufacturing capabilities and operational efficiencies in key markets.

M Mulla Associates advised Allied Blenders and Distillers Limited on all legal aspects of the transaction, including due diligence, transaction structuring and the finalisation of transaction documents, including the sale deeds for approximately 35 acres of land, a Facility Assets Transfer Agreement and a License Transfer Agreement.
