Khaitan, Anagram Advised On Actis’ Acquisition Of Vindhyachal Expressway From Kalpataru Projects

Khaitan & Co along with Anagram Partners advised on Actis’ acquisition of Vindhyachal Expressway from Kalpataru Projects International.

Vindhyachal Expressway Private Limited (VEPL) is a special purpose vehicle and was formed to undertake a four-laning road project spanning 89.30 KMs connecting the main city of Rewa and Hanumana on the border of the states of Madhya Pradesh and Uttar Pradesh on the national highway section (NH)-7.

The project is under concession from Madhya Pradesh Road Development Corporation (MPRDC) on Design, Build, Finance, Operate and Transfer (DBFOT) Toll basis.

Khaitan & Co advised Kalpataru Projects International Limited on the divestment of its entire equity stake in Vindhyachal Expressway Private Limited, a special purpose vehicle holding a toll-based public-private partnership concession for an approximately 89.30 km four-lane road project on NH-7 connecting Rewa and Hanumana in Madhya Pradesh.

The core team included Shivanshu Thaplyal, Priyal Modi, Ayushi Chaudhary, and Shubh Kavi.

Anagram Partners advised Actis on the acquisition of a 100% equity stake in Vindhyachal Expressway Private Limited from Kalpataru Projects International.

The transaction team was led by Partner Simone Reis, and included Shwetank Chaubey, Rishabh Chhabaria, and Rahil Arora.
