Forever Global Enterprises has entered into a proposed transaction to acquire the Meerganj Unit of Dhampur Bio Organics through a slump sale on a going-concern basis for a total consideration of INR 305 crore.
The transaction involves the transfer of the Meerganj Unit located in Uttar Pradesh pursuant to a Business Transfer Agreement and ancillary documents.
Khaitan & Co advised Forever Global Enterprises Pty Ltd on the acquisition.
The deal team included Atul Pandey, Arjun Bhagi and Varun Yadav, with assistance from Vinita Krishnan on direct tax aspects.
Cyril Amarchand Mangaldas represented Dhampur Bio Organics Limited on the proposed transfer of its Meerganj Unit.
