Khaitan & Co and Shardul Amarchand Mangaldas & Co (SAM) advised on Verlinvest S.A.’s USD 75 million investment in The Eye Foundation.

Khaitan & Co advised The Eye Foundation and its promoters on the acquisition of a minority stake by Verlinvest SA for approximately USD 75 million. This marks Verlinvest’s largest investment in Indian health care and one of the largest Private Equity deals in India’s single-specialty healthcare segment.

The core team consisted of Vivek Sriram, Varun Narayan, Atul Narayan, Karthik Sridhar, Aanchal Kapoor, Akhila Deekshitha Baddepudi, Rexey Sabu and Vishnu Vasudevan, with assistance from Supratim Chakraborty and Sumantra Bose (Data Privacy), Vinay Joy (Employment Law) and Nirupam Lodha (Intellectual Property).

Shardul Amarchand Mangaldas advised Verlinvest S.A. on its investment in Eye Foundation Limited (EFL), involving both primary and secondary components, resulting in Verlinvest acquiring approximately 20% shareholding in EFL.

This transaction reinforces the Firm’s strong capabilities in complex private equity investments, including cross-border structuring in the healthcare sector.

The transaction was led by Raghubir Menon – Partner and Regional Practice Head, Mumbai (M&A and Private Equity, General Corporate) and Partner Deepa Rekha R, supported by Principal Associates Garima Tyagi and Tanmayee Chaulkar, Senior Associate Madhurika Durge, along with Associates Adwaita Bhattacharyya and Anushya Ramakrishna.
