Kirkland & Ellis, Burges Salmon, Thompson Hine, Ashurst Perkins Coie Act On Arlington Capital’s Acquisition Of Gooch & Housego

Kirkland & Ellis, Burges Salmon, Thompson Hine, and Ashurst Perkins Coie advised on Arlington Capital Partners’ £345.6 million acquisition of Gooch & Housego plc.

Arlington Capital Partners VII, L.P. (ACP), through Bidco, has agreed to acquire Gooch & Housego plc (G&H), a world-leading photonics engineering group, for £345.6 million by way of a court-sanctioned scheme of arrangement.

Under the terms of the transaction, G&H shareholders will receive £12.30 per share, with certain qualifying shareholders also entitled to receive and retain an interim dividend of 4.9 pence per share. G&H is a leading provider of mission-critical photonics engineering and high-precision optical subsystems, serving sectors including aerospace and defence, life sciences, and other regulated industries.

Kirkland & Ellis acted as legal adviser to Bidco and ACP.

Burges Salmon advised Gooch & Housego plc on the transaction.

The team was led by AJ Venter and Guy Francis, supported by Dominic Davis and Nigel Watson, with assistance from Gina Green and Hannah Bellingall. Nigel Watson and Sam Taylor advised on incentives matters, while Richard Eccles and Tom Green advised on the UK regulatory aspects of the transaction.

Thompson Hine is advising G&H on the US regulatory and securities law aspects of the Offer.

Ashurst Perkins Coie advised J.P. Morgan Securities on the £345.6 million takeover.
