Latham & Watkins LLP, Vinge, Jones Day, and JSA advised on Cadence Design Systems’ €2.7 Billion acquisition of Hexagon AB’s Design & Engineering (D&E) Business.
Cadence Design Systems, Inc. (Nasdaq: CDNS) entered into a definitive agreement to acquire Hexagon AB’s Design & Engineering business, including MSC Software, for approximately €2.7 billion, with 70% paid in cash and 30% through the issuance of Cadence common stock. The D&E business is a leading provider of computer-aided engineering (CAE) software solutions, operating on a subscription-based model. The transaction is expected to close in the first quarter of 2026, subject to regulatory approvals and customary closing conditions.
Latham & Watkins LLP advised Cadence on the transaction, with the corporate deal team led by Bay Area partners Mark Bekheit and Tessa Bernhardt, and supported by associates Lauren Lefcoe, Valentina Oliver, Tim Plummer, Sabine Dahi, and Kelsey MacKinnon.
