Paul Hastings, Khaitan & Co, Hengeler Mueller and Milbank advised on Madison Air’s $5.4 billion acquisition of ebm-papst.

Madison Air Solutions Corporation, a global provider of air quality solutions, entered into a definitive agreement to acquire ebm-papst, a global supplier of high-performance airflow technology, at an enterprise value of approximately $5.4 billion.

Madison Air intends to fund the transaction through a combination of cash on hand and debt and equity financing.

Paul Hastings advised Madison Air Solutions Corporation as U.S. counsel on the acquisition.

The team was led by Private Equity Co-Chair Brian Richards, with Partner Jim Smulkowski and Associate Megan Craig.

Khaitan & Co advised Madison Air on the Indian law aspects of the transaction.

The core deal team comprised Rabindra Jhunjhunwala, Aman Anand, Arun Kumar, Henna Kapadia, Akshara Bhansali, Apurva Singhi and Sarthak Das, with assistance from Shobhit Chandra on Data Protection, Pirabu Mohan on Real Estate, and Vinay Joy on Employment, Labour & Benefits.
