Shardul Amarchand Mangaldas (SAM), Cyril Amarchand Mangaldas (CAM) and Sidley Austin advised on Poonawalla Fincorp’s ₹2,500 crore QIP.

Poonawalla Fincorp Limited has undertaken a qualified institutions placement (QIP) of equity shares aggregating to ₹2,500 crore. The net proceeds from the issue are proposed to be utilised towards augmenting the company’s assets under management, strengthening its capital base, and repaying or prepaying certain existing borrowings.

SAM advised Poonawalla Fincorp Limited on the transaction.

Cyril Amarchand Mangaldas (CAM) advised Kotak Mahindra Capital Company Limited, Jefferies India Private Limited, and J.P. Morgan India Private Limited on the qualified institutions placement of equity shares of Poonawala Fincorp Limited which comprised an issuance of 67,430,883 equity shares of face value Rs. 2 each to eligible Qualified institutional buyers at the issue price of Rs 370.75 per Equity Share (including a premium of Rs. 368.75 per Equity Share) aggregating to INR 2,500 crore (“Issue”). The Issue was undertaken by Poonawala Fincorp Limited in compliance with Chapter VI of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 and Section 42 of the Companies Act, 2013 and other applicable rules and regulations. The QIP opened on April 9, 2026, and closed on April 13, 2026.
