Saraf and Partners acted as the counsel for Amber Enterprises India Limited in the acquisition through its material subsidiary, ILJIN Electronics (I) Pvt Ltd (“IL JIN”), of majority stake in Power One Micro Systems (Private) Limited (Power-One) from its existing shareholders (Sellers).
The deal was structured as an acquisition of majority stake in Power-One from the Sellers by the Client for cash consideration. The team conducted detailed legal due diligence on Power-One, assisted in drafting and negotiating key transaction documents including the SPA, SHA, and employment agreement, and supported the Client through closing by overseeing execution, regulatory filings, share transfers, and ongoing compliance to ensure a smooth transition.
The Transaction was led by Partner Ramya Suresh with valuable inputs from Founder & Managing Partner Mohit Saraf and Partner Dhruv Chatterjee.
