Simpson Thacher, Stikeman Elliott, Davis Polk, Kirkland & Ellis Act On Nuvei’s $2.75 Bn Acquisition Of Payoneer

Simpson Thacher, Stikeman Elliott, Davis Polk and Kirkland & Ellis advised on Nuvei’s US$2.75 billion acquisition of Payoneer.

Under the terms of the agreement, Payoneer shareholders will receive US$7.40 per share in cash. The transaction is expected to close in mid-2027, subject to shareholder approval, regulatory clearances, and customary closing conditions.

Upon completion, the combined company is expected to process more than US$500 billion in annual payment volume for more than 2.4 million customers across over 190 countries and territories. The transaction is expected to strengthen Nuvei’s capabilities in cross-border payments, platform-native financial services, stablecoin payments and emerging agentic commerce applications.
