Trilegal and Khaitan & Co advise on Vadraj Energy sale to Nuvoco Vistas Corporation.
Trilegal advised JSW Cement on the sale of Vadraj Energy to Nirma Group’s Nuvoco Vistas Corporation. Vadraj Energy operates power plants in Kutch and Surat. The transaction is structured as a secondary purchase by Nuvoco of 100% of the securities of Algebra Endeavour (the holding company of Vadraj Energy) from JSW Cement and Alpha Alternatives. The closing of the transaction is expected to take place within 10 days from the completion of the conditions precedent under the definitive agreements.

Khaitan & Co advised Nuvoco Vistas Corp. Ltd. On its acquisition of Algebra Endeavour and its subsidiary, Vadraj Energy Gujarat, from JSW Cement and Alpha Alternatives Holdings.
The core deal team included Rohan Shrivastava and Pranita Parakh with assistance from Rajeev Vidhani and Vishnu Shriram (CIRP aspects).
