Wilson Sonsini, JSA and Latham & Watkins advised on Marvell Technology’s acquisition of Celestial AI.
Marvell Technology, Inc. has entered into a definitive agreement to acquire Celestial AI, a pioneer of the Photonic Fabric technology platform designed for scale-up optical interconnect.
The acquisition represents a strategic step in accelerating Marvell’s connectivity strategy for next-generation AI and cloud data centres. Celestial AI’s Photonic Fabric platform will be integrated into Marvell’s portfolio, strengthening its capabilities in high-bandwidth, low-power and low-latency connectivity solutions for AI infrastructure and cloud data centres. The transaction is expected to close in the first quarter of calendar 2026, subject to customary closing conditions and regulatory approvals.
Wilson Sonsini Goodrich & Rosati advised Marvell Technology on the transaction. The team was led by Rob Ishii, Ethan Lutske, Ross Tanaka, Allison Spinner and Jeana Kim.
JSA Advocates & Solicitors advised Marvell Technology on the India aspects of the acquisition, including the transfer of employees and assets from Celestial AI India LLP to Marvell India Private Limited and also assisted with the restatement of Celestial AI India LLP’s LLP agreement following the merger of the parent entities, along with the required corporate and regulatory filings in India.
