Khaitan & Co and Cyril Amarchand Mangaldas (CAM) advised on TVS Motors’ acquisition of a minor stake in Jana Small Finance Bank.
TVS Motor Company Limited and TVS VENU have entered into definitive agreements in relation to an investment in Jana Small Finance Bank Limited through a combination of primary issuance of warrants and secondary share purchases, subject to applicable approvals.
As part of the transaction, Jana Holdings Limited agreed to sell 5,160,903 equity shares, representing approximately 4.9% of the paid-up equity share capital of Jana Small Finance Bank, to TVS Motor Company for an aggregate consideration of INR 193.31 crore.
Khaitan & Co, led by Senior Partner Haigreve Khaitan, acted as legal counsel and transaction adviser to TVS VENU and TVS Motor Company in relation to the proposed investment in Jana Small Finance Bank.
Cyril Amarchand Mangaldas (CAM) acted as legal counsel to Jana Holdings Limited in connection with the sale of its stake in Jana Small Finance Bank to TVS Motor Company.
The transaction was led by Partner Aditya Prasad, with support from Senior Associates Kritika Dobhal and Nisha Nahata and Associate Ayush Katyayana.
