Khaitan & Co and Sarthak Advocates & Solicitors have advised on Menwell Limited’s acquisition of EarlyFit Health Private Limited through a secondary purchase transaction.
The acquisition marks Menwell’s entry into the Indian obesity care and digital health market through its “Voy” brand. The transaction involved the acquisition of the entire shareholding of EarlyFit from its existing shareholders.
EarlyFit operates a technology-driven obesity care platform focused on clinically supervised GLP-1-based treatment programmes, while Voy currently operates across the United Kingdom, Germany and Brazil through its integrated obesity care model.
Khaitan & Co advised Menwell on the Indian foreign exchange law aspects of the acquisition, transaction structuring and the fundraise through external commercial borrowings.
The core team consisted of Monika Srivastava, Sanchit Agarwal, Chirag Mangal, Aditi Gupta and Daanish Dube, with assistance from Abhinav Rastogi (Employment Law), Prateek Desai (Financing Aspects) and Sameer Sah (Regulatory).
