AZB, CAM, McDermott Will & Schulte, Vinge, Trilegal Act On KKR’s Acquisition Of Medicover India

AZB & Partners, Cyril Amarchand Mangaldas (CAM), McDermott Will & Schulte, Advokatfirman Vinge and Trilegal advised on KKR’s acquisition of Medicover India.

KKR has agreed to acquire a 100% stake in Sahrudaya Health Care Private Limited (SHCPL), the Indian healthcare business of Medicover, for an equity consideration of approximately EUR 1.2 billion, subject to adjustments and regulatory approvals.

SHCPL and its subsidiaries operate a network of hospitals across Telangana, Andhra Pradesh, Karnataka and Maharashtra.

AZB & Partners advised KKR on the acquisition of a 100% stake in Medicover India (Sahrudaya Health Care Private Limited).

The team comprised Partners Zia Mody and Nandish Vyas, Jeet Chaudhuri and Malini Raju, supported by Senior Associates Anish Patel, Tanay Chopra, Shreshth Bhartia and Prannathi Ajith Kumar.

Cyril Amarchand Mangaldas advised Medicover on the sale.

The transaction was led by Senior Partner Reeba Chacko and Partner Kota Chandan, supported by Associate Yash Chadha.

Partner Lakshmi Prakash advised on third-party financing repayment structuring and ECB assignment. Partner Bharath Reddy, with support from Principal Associate Dipti Khatri, advised on the ESOP settlement mechanism. Partner Arpita Sengupta, with support from Associate Yash Chadha, advised on the transitional licence agreement, while Partner Sharada Ramachandra advised on certain corporate matters.

McDermott Will & Schulte acted as legal adviser to Medicover, with the team led by Fatema Orjela, Zoe Woodhouse and Lisa Göransson.

Advokatfirman Vinge also advised Medicover in connection with the transaction.

Trilegal advised the minority shareholders of Medicover India on the sale of their stake to funds managed by KKR.
