Squire Patton Boggs, Fried Frank & Birketts Act On H.I.G. Capital’s Acquisition Of Torque

Squire Patton Boggs, Fried Frank and Birketts advised on H.I.G. Capital’s acquisition of Torque.

H.I.G. Capital acquired Torque Holdings Limited, a leading UK provider of omni-channel fulfilment and supply chain services.

Torque provides outsourced fulfilment and supply chain services to a diversified base of premium and high-growth consumer brands. The company offers a broad range of services including warehousing and fulfilment, inventory and returns management, and international freight forwarding, serving customers with complex requirements across the eCommerce, retail, and wholesale channels. Torque operates a network of fulfilment facilities across the UK and supports customers across eCommerce, retail and wholesale channels.

The transaction was completed in partnership with Torque’s management team, who will continue to lead the business.

The acquisition by H.I.G. will support Torque’s next phase of growth as the business continues to expand its service offering, increase capacity and develop its international fulfilment capabilities.

Squire Patton Boggs advised H.I.G. Capital on the acquisition by one of its affiliates of Torque Holdings Limited.

The Squire Patton Boggs team advising H.I.G. Capital was led by Corporate Partners Charles Leeming and Paul Mann and included Director Louise Parker and Senior Associate Mona Mojtabavi.

Fried Frank advised H.I.G. Capital on the senior and super senior secured facilities financing its acquisition of Torque.

The team was led by Finance Partner Chris Barron and included Finance Associates Ross Cruickshanks, Seán Dillon and Anna Tobutt, Tax Partner Richard Pilgrim and Tax Associates Andrew Dibden and Camilla Marzi.

Birketts advised the shareholders of Torque on its sale to H.I.G. Capital.

The team was led by corporate partner and head of the firm’s transport and logistics sector group Matthew Stratton, alongside fellow corporate partners Salim Somjee and Adrian Seagers. The wider corporate team included Macauley Alsford-White, Harry Close, Grace Shek and Will May. Also assisting were Karl Pocock, Robbie Watson (corporate tax), Gavin Birchall (personal tax), Amanda Early and Jennifer Bubbra (commercial real estate), Sarah Bull and Katie Garcia (employment) and Anthony Metcalfe-Gibson (incentives).
