HSA Advocates and Antares Legal advised on Uneecops’ acquisition of a majority stake in TechMatrix Consulting.

This strategic collaboration combines TechMatrix’s Salesforce expertise, experience, and strengths with Uneecops’ expertise in Artificial Intelligence (AI) and analytics, creating a unique synergy that simplifies enterprise transformation and enables businesses to evolve into organizations capable of autonomous decision-making, intelligent automation, and resilient growth in this increasingly digital economy.

The collaboration is expected to broaden both company’s reach across India, APAC and the Middle East, while strengthening go-to-market capabilities across high-impact sectors such as banking, financial services, insurance, retail, manufacturing and healthcare. By integrating Salesforce, Tableau and applied AI, the combined platform aims to deliver faster time-to-value through pre-built accelerators, unified analytics and intelligent automation that enable prescriptive customer engagement and operational resilience.

HSA Advocates represented the promoter shareholders and TechMatrix IT Consulting Private Limited (TechMatrix), a leading CRM consulting and solutions company and one of the largest Salesforce partners, in the sale of their majority shareholding in TechMatrix by the promoter shareholders to Uneecops Business Solutions Private Limited (Uneecops), a leading technology and digital solutions provider in India.

HSA advised TechMatrix and the promoter shareholders on transaction structuring, to preserve the financial and operational interests of the continuing promoters while providing them with functional and operational autonomy to run the business of TechMatrix and its group entities in Singapore and the USA. HSA also assisted in the review, negotiation, finalization and execution of the share purchase, share subscription and shareholders’ agreements. In addition, the firm prepared employment agreements for continuing key managerial personnel, and advised TechMatrix on the completion of all pre-closing and closing date actions.
