SAM, TT&A, CAM, Latham & Watkins Act On PhysicsWallah’s ₹3480 Cr IPO

Shardul Amarchand Mangaldas (SAM), Talwar Thakore & Associates (TT&A), Cyril Amarchand Mangaldas (CAM) and Latham & Watkins advised on the ₹3,480 crore IPO of PhysicsWallah Limited.

This landmark transaction marks the largest IPO in India’s ed-tech sector.

SAM advised PW (PhysicsWallah) Limited on its ₹3,480 crore Initial Public Offering, comprising a fresh issue of shares and an offer for sale by the promoter selling shareholders.

The Transaction Team for PhysicsWallah comprised Prashant Gupta (National Practice Head – Capital Markets); Partner Abhiroop Amitava Datta, along with Senior Associates Kamiya Marwah, & Rishika Sharma, and Associate Aishwariya Chaturvedi.

The Transaction Team for the selling shareholders was led by Partner Manjari Tyagi, along with Senior Associate Jheel Bhargava, and Associate Bhumika Panigrahi. Partners Manish Gupta and Ashish Ahluwalia provided corporate advisory support.

Talwar Thakore & Associates (TT&A) advised WestBridge AIF I, Setu AIF Trust, Konark Trust and MMPL Trust (collectively WestBridge) on the IPO of Physicswallah Limited.

WestBridge is an existing shareholder of Physicswallah Limited.

The TT&A Team comprised Joint Managing Partner Gautam Saha, Partners Punita Gupta and Abhinav Kumar, and Managing Associates Akshita Alok & Shubham Sancheti.

CAM acted as Indian legal counsel to the book running lead managers in the initial public offering of equity shares by PW (PhysicsWallah) Limited.

The Capital Markets team included Vishal Yaduvanshi, Amitpal Singh, Medhashree Verma, Sanskar Modi and Mahima Aggarwal.

The sector–specific advisory was provided by Aarushi Jain.

Latham & Watkins acted as the International counsel to the book running lead managers. The Latham team was led by India practice head Rajiv Gupta.
