Khaitan & Co and Cyril Amarchand Mangaldas (CAM) advised on Saregama India Ltd.’s strategic investment in Bhansali Productions Pvt. Ltd., founded by Sanjay Leela Bhansali, through the subscription to compulsory convertible preference shares (CCPS) for a consideration of INR 325 crores.
The deal brings together Bhansali Productions’ film and OTT content capabilities with Saregama’s music and live events business, as the company sharpens its focus on partnerships rather than in-house film production. As part of the transaction, Saregama will acquire ownership of all music rights created and produced by Bhansali Productions.
Khaitan & Co advised Saregama India on the investment, including advice on the terms of conversion. The deal team was led by Haigreve Khaitan, Ashraya Rao, Vidur Sinha, Ishan Johri, Sheldon D’souza, Vaishanshi Bhardwaj, Hansaja Pandya, Utsav Mitra and Pavitra Khaitan, with assistance from Sudhir Bassi (Capital Markets).
CAM acted as legal counsel to Bhansali Productions Private Limited. The Transaction Team comprised Ruetveij Pandya, Aarushi Jain, Pooja Kapadia, Abhilasha Malpani, Sana Sarosh, Diksha Arora, Nayanika Gupta, Miloni Mau and Ridhima Lohia.
