Linklaters, Freshfields and Norton Rose Fulbright (NRF) advised on the £1.275 billion consortium offer for Senior plc.

A consortium of investment funds advised by affiliates of Tinicum Incorporated and Blackstone Inc. has announced a recommended cash offer for Senior plc, valuing the FTSE 250-listed engineering solutions provider at approximately £1.275 billion (equity value). The transaction is structured through Zeus UK Bidco Limited, a newly formed entity indirectly controlled by the consortium, and is intended to be implemented by way of a court-sanctioned scheme of arrangement.

Senior plc is an international engineering company designing and manufacturing high-technology components and systems for the aerospace, defence, land vehicle, and power and energy sectors. The recommended offer is a high profile UK public to private transaction in the defence and aerospace sector, reflecting continued sponsor interest in UK listed businesses with strong underlying fundamentals and long term growth potential. The transaction remains subject to the satisfaction of various conditions, including shareholder approval and regulatory clearances.
