Skadden, Latham & Watkins, Kirkland & Ellis and Gibson Dunn advised on US$6.3 billion take-private deal for American Express Global Business Travel (Amex GBT).
Long Lake Management has entered into a definitive agreement to acquire American Express Global Business Travel in an all-cash transaction valued at approximately US$6.3 billion.
The buyer group is backed by General Catalyst and Alpha Wave. The transaction was negotiated by a Special Committee of the Amex GBT Board comprising independent and disinterested directors. Following the unanimous recommendation of the Special Committee, the Amex GBT Board approved the merger agreement with Long Lake.
The transaction is expected to close in the second half of 2026, subject to customary closing conditions, including shareholder and regulatory approvals.
