Gleiss Lutz, Cravath, Schoenherr, Walder Wyss, AZB, Zhong Lun, Garrigues, Linklaters, bpv Huegel, TT&A Act On Infineon’s Acquisition Of ams-OSRAM’s Non-Optical Sensor Business

Gleiss Lutz, Cravath, Swaine & Moore, Schoenherr, Walder Wyss, AZB & Partners, Zhong Lun, Garrigues, Linklaters, bpv Huegel and Talwar Thakore & Associates advised on Infineon Technologies’ €570 million acquisition of ams-OSRAM’s non-optical sensor portfolio.

Infineon Technologies AG has agreed to acquire the non-optical analog/mixed-signal sensor portfolio of ams-OSRAM AG for an enterprise value of €570 million. The transaction covers a portfolio of non-optical sensors serving the automotive, industrial and medical sectors and includes the sale of ams Semiconductors India Private Limited to an Indian subsidiary of Infineon. Completion remains subject to customary regulatory approvals and is expected in the second quarter of 2026.

Gleiss Lutz advised Infineon Technologies AG as the lead counsel on the acquisition.

Linklaters advised ams-OSRAM AG on the sale. The cross-practice team was led by Partner Stephan Oppenhoff and Counsel Thilo Zimmermann.

Bpv Huegel advised ams-OSRAM AG on Austrian law aspects of the transaction. The team was led by Partner Christoph Nauer, with support from Johannes Mitterecker, Paul Pfeifenberger, Nicolas Wolski, Christian Schneider, Sonja Dürager, Patrick Nutz-Fallheier, Filip Lukacic and Daniel Maurer.

Talwar Thakore & Associates advised ams-OSRAM on the Indian aspects of the transaction, including the sale of shares of ams Semiconductors India Private Limited. The team comprised Joint Managing Partner Kunal Thakore, Partner Pratika Shankar and Associate Aanchal Kabra.
