Juris Corp advised Neogen Chemicals Limited (Neogen) in its debut listing of non-convertible debentures (NCDs) aggregating to INR 200,00,00,000/- (Indian Rupees Two Hundred Crores Only) on BSE Limited. These NCDs were issued to identified investors on a private placement basis. Neogen is India’s one of the leading manufacturers of bromine-based and lithium based specialty chemicals.
Juris Corp acted as the sole transaction legal counsel and has aided Neogen in smoothly listing of its debt securities on a private placement basis and successfully raise borrowed capital. Juris Corp provided end to end support from assisting with in principle approval, final listing approval, drafting the transaction documents etc.
The debt was in the nature of secured non-convertible debentures issued on a private placement basis for the purpose of capital expenditure, repayment of secured / unsecured loans and general corporate purposes. The borrowing is fully secured inter alia by way of a mortgage over the immovable property and hypothecation over the hypothecated assets.
