Kirkland & Ellis, Latham & Watkins Advised On CoreWeave’s $2.75 Bn Senior Notes Offerings

Kirkland & Ellis and Latham & Watkins advised on CoreWeave’s US$2.75 billion senior notes offering.

CoreWeave, Inc. has completed and is in the process of completing senior notes offerings totaling US$2.75 billion, comprising US$1.75 billion in 9.75% senior unsecured notes due 2031 (closed on April 14, 2026) and an additional US$1 billion issuance expected to close on April 21, 2026, subject to customary conditions. The additional notes are being issued under the same indenture as the initial issuance.

The team was led by capital markets lawyers Alborz Tolou, Josh Korff, Rebecca Cho, Hannah Miller and Kristen Liu, debt finance lawyers Lucas Spivey, Osaro Aifuwa, William Zakhary and Jacob Sims and tax lawyers David Wheat, Joe Tobias and Brooke Schafer.

Latham & Watkins represented the initial purchasers in connection with the US$1 billion notes offering.

The team was led by Partners Keith Halverstam and Salvatore Vanchieri, with Associates Kathleen Mehary, Gabriella Tang, Bridget Carmody, and Ed Reynolds. Advice was also provided on tax matters by Partner Rene de Vera, with Associate Sam Yang.
