Latham & Watkins, Wilson Sonsini, Wachtell Act On Figure’s $717 Million Acquisition Of Kiavi

Latham & Watkins, Wilson Sonsini Goodrich & Rosati and Wachtell, Lipton, Rosen & Katz have advised on Figure Technology Solutions, Inc.’s definitive agreement to acquire Kiavi, an AI-powered lending platform for residential real estate investors, in a transaction valued at US$717 million.

Figure is a blockchain-native capital marketplace focused on the origination, funding, sale and trading of tokenised assets. The transaction also includes the purchase of Kiavi’s balance sheet assets by a joint venture between Figure and Sixth Street, which will acquire loans held on Kiavi’s balance sheet.

Latham & Watkins advised Figure Technology Solutions on the acquisition.

The Latham corporate deal team was led by Partners Marc Jaffe, Ian Schuman, Sean Parish and Jason Morelli, with support from Associates Sean Sheely, Meg Lloyd, Charles Mahone, Juna Kim and Jane Lee.

Wilson Sonsini Goodrich & Rosati advised Kiavi on the transaction.
