Shardul Amarchand Mangaldas (SAM) and JSA Advise on OneAssist’s INR 174 Crore Acquisition of CPP India.

CPP India is engaged in providing assistance and protection services, offering a suite of white-labelled products in partnership with banks, NBFCs, and intech companies across India.

SAM advised OneAssist Consumer Solutions and its subsidiary company, bolttech on their 174 crore acquisition of CPP Assistance Services Pvt. Ltd. (CPP India) from its Europe based shareholders.

The transaction team was led by Partners Manish Gupta, & Ashish Ahluwalia, along with Senior Associate Shivangi Kumari, and Associate Adarsh Mishra.

The due diligence team was led by Partner Ashish Ahluwalia, along with Senior Associate Deepti Verma, Associates Surbhi Burman, Adarsh Mishra, and Mannshree Sikchi.

JSA Advocates & Solicitors advised CPP Group on the sale of its Indian subsidiary, CPP Assistance Services Private Limited to One Assist Consumer Solutions Private Limited. The transaction involved the divestment of CPP Group’s entire 100% shareholding in CPP India to One Assist and its afiliate for a consideration of INR 174 crore.

JSA advised CPP on the corporate law and tax law related aspects of the transaction, which included negotiation and execution of the transaction documents, as well as support through closing.
