Inventurus Knowledge Solutions Limited (IKS) and its U.S. subsidiary have entered into a binding merger agreement for the acquisition of TruBridge Inc., a NASDAQ-listed healthcare technology company, through a reverse triangular merger under Delaware law.
The transaction involves a multi-layered cross-border structure, with an Indian parent acquiring a U.S.-listed target through a wholly owned U.S. subsidiary. The acquisition is supported by financing secured through guarantees, pledges and security interests, and required navigation of Indian exchange control regulations.
SAM acted as legal counsel to Inventurus Knowledge Solutions Limited and Inventurus Knowledge Solutions Inc.
