Sullivan & Cromwell and Morrison Foerster advised on Winbond’s $1.12 billion acquisition of Infineon’s NOR Flash and F-RAM business.

Winbond Electronics Corporation has agreed to acquire the NOR Flash and F-RAM business of Infineon Technologies for $1.12 billion. The business comprises a portfolio of NOR Flash memory as well as F-RAM products serving customers across automotive, industrial and infrastructure markets.

The acquisition is expected to expand Winbond’s global research and development resources and enhance its supply capabilities and services to global customers.

The transaction is subject to customary closing conditions, including regulatory approvals, and is expected to close in the second half of 2027.
