Kirkland & Ellis, AZB, Khaitan, Macfarlanes, A&O Shearman Act On Bain Capital’s Acquisition Of Vitabiotics

Kirkland & Ellis, AZB & Partners, Khaitan & Co., Macfarlanes and A&O Shearman advised on Bain Capital’s acquisition of Vitabiotics.

Bain Capital has agreed to acquire Vitabiotics, a leading British nutraceutical company specialising in vitamin and mineral-based food supplements, including its UK operations and the wider VB Group, comprising Meyer Organics Private Limited in India and operations across Africa, including VB Egypt.

The transaction, valued at approximately US$1 billion (INR 96.53 billion), remains subject to customary closing conditions, including regulatory approvals.

Kirkland & Ellis advised Bain Capital on the acquisition.

The team includes corporate lawyers Jacob Traff, Sri Kaushik, James Whybrow, Carmella Crinnion, Angie Ertel, Emma Luo and Edward Mort; tax lawyers Alan Walker, Michael Akpomiemie and Bryan Leighton; technology & IP transactions lawyers Emma Flett, Ben Zeris and Stephen Coudounaris; and debt finance lawyers Jacqueline Zheng, Sam Sherwood, Christopher Shield and Karen Ho.

AZB & Partners advised Vitabiotics Limited and its Indian subsidiary Meyer Organics Private Limited on the sale to Bain Capital.

The transaction team was led by Founding & Managing Partner Zia Mody, Partners G. Padmanabhan, Nandish Vyas, Anshuman Bharadwaj, and Prerak Ved, with support from Senior Associates Deepti Narayanan, Labdhi Doshi, and Priya Venkatesan.

Khaitan & Co. acted as Indian law co-counsel to Bain Capital in connection with the acquisition.

Macfarlanes acted as lead legal adviser to the selling party, advising on all legal aspects of the sale and coordinating the cross-border legal workstreams.

A&O Shearman advised the arrangers in relation to the committed acquisition financing for Bain Capital.

The team was led by Partners Matt Del Rosso and Gautam Narasimhan in Singapore and Daniel Tan in Hong Kong, with support from Associates Glen Tay and Jia Min Lim, and Trainees Annika Shah and Hannah McGreevy.
