Baker McKenzie, Trilegal, Linklaters, Kirkland & Ellis Advised On Coats Group Plc’s Acquisition Of OrthoLite

Baker McKenzie, Trilegal, Kirkland & Ellis, and Linklaters advised on Coats Group plc’s acquisition of OrthoLite Holdings LLC for USD 770 million.

OrthoLite is a global market leader in open-cell foam insoles, operating in a high-growth segment of the footwear market driven by demand for comfort, performance, and sustainability. The acquisition is a strategic move that strengthens Coats Footwear division’s offering by expanding into the premium open-cell insole segment.

Baker McKenzie advised Coats Group plc, a world-leading industrial thread and footwear components manufacturer, on its acquisition of OrthoLite Holdings LLC, as well as on the debt and equity financing in connection with the transaction. The Baker McKenzie team was led by Partner Ash Tiwari, with support in New York from Partner Alan Zoccolillo, Partner Jieun Tak, and Associate Matt Bratovich, and in London by Senior Associates Niraj Visani, Priya Shah, Jack Bliss, and Trainee Samuel Trevor.

Trilegal advised Coats on the Indian legal aspects of the acquisition, including conducting comprehensive legal due diligence on OrthoLite’s Indian operations. The Trilegal Corporate Team was led by Partner Delano Furtado, and supported by Counsel Saumya Kakar, and Associates Ridhi Shetty, Rhea Almeida, Anoushka Gahilot, and Punit Sanwal. The Trilegal Labour & Employment Team was led by Partner Parvathy Tharamel, with support from Associates Koshy Mathen and Lekha Suki.

Kirkland & Ellis advised Trilantic North America-backed OrthoLite Holdings LLC on its sale to Coats Group plc. The deal includes a potential contingent payment of up to USD 10 million based on OrthoLite’s EBITDA performance in 2025. The Kirkland team included Partner Alan Heisman, Partner Shawn O’Hargan, Partner Francesca Storey-Harris, Partner Dipak Bhundia from the corporate team; Partner James Dickson and Partner Carly Bishop from the debt finance team; and Partner Liam Murphy and Partner Vin Thorn from the tax team.

Linklaters advised the banks financing Coats Group’s USD 770 million acquisition of OrthoLite Holdings LLC. The transaction includes the acquisition of Cirql, a new proprietary foam technology offering biodegradable and fully recyclable midsoles. The Linklaters team was led by Partner Toby Grimstone, with support from Managing Associate Atish Shah and Associate Giles Leigh.
