Juris Corp acted as sole investor counsel to Krazybee Services Limited (“Krazybee”) in connection with its issuance of listed and secured non-convertible debentures aggregating up to INR 525,00,00,000/- (Indian Rupees Five Hundred and Twenty Five Crores Only) including a green shoe option of INR 200,00,00,000/- (Indian Rupees Two Hundred Crores Only) (“NCDs”). The transaction involved subscription by a foreign portfolio investor and required the seamless integration of debt capital markets, financing and security-enforcement considerations within the listed debt framework.

Juris Corp advised on the end-to-end structuring, documentation, negotiation and execution of the transaction, including the issuance and listing of the NCDs, creation and perfection of the security package, and compliance with the applicable regulatory framework governing listed debt securities.

The firm worked closely with all stakeholders to navigate the commercial, regulatory and execution-related considerations involved in completing a significant cross-border debt financing transaction and required careful consideration of regulatory, security enforcement and investor protection aspects. The security documents were intricately structured to ensure robust protection of the interests of the debenture holders, while maintaining the requisite security cover throughout the tenure of the NCDs.
