Touchstone Partners advised JSW Sarbloh Motors, in connection with the strategic partnership and joint venture with TOMCAR USA, to indigenize, manufacture and support TOMCAR’s TX range of All-Terrain Vehicles.
The Touchstone Partners team advising on the transaction included Anirudh Agarwala, Kunal Gopal, Rajvee Bavishi, Viraj Vaidya, and was supported by Anuj Bhatia and Palak Chadha on the transactional intellectual property aspects.
Khaitan & Co advised Tomcar on its joint venture with JSW Sarbloh Motors to manufacture and assemble the Tomcar TX range of tactical all-terrain vehicles in India for defence and export markets. In the JV, JSW Sarbloh will hold a 70% stake and TOMCAR will hold a 30% stake. The latter will also serve as the technology partner.
The core team consisted of Bharat Anand, Tanvi Kumar, Nimisha Trehan and Nipun Laroia, with assistance from Nirupam Lodha (Intellectual Property), Kabir Bogra (Defence Sector) and Shaily Gupta (Direct Tax).
