HSF Kramer, Linklaters Act On Engie’s £5.2 Bn Acquisition Of UK Power Networks

HSF Kramer and Linklaters advised on Engie’s £5.2 Billion acquisition of UK Power Networks from CK Group.

The acquisition, which is subject to customary regulatory approvals as well as approval by the shareholders of the Hong-Kong listed parent companies of the sellers, is due to complete in mid-2026.

UK Power Networks supplies electricity to around 8.5 million homes and businesses across London, the Southeast, and East of England.

The transaction represents a landmark cross-border infrastructure deal, highlighting Engie’s expansion in the UK energy market.

Herbert Smith Freehills Kramer is advising ENGIE S.A. on the acquisition of UK Power Networks Holdings Limited (UKPN), a leading electricity distribution operator in the UK, from CK Infrastructure Holdings Limited, for an equity value of £10.5 billion.

The Herbert Smith Freehills Kramer team was led by Frédéric Bouvet (France), Caroline Rae (London) and Silke Goldberg (London), with support from counsel Chris Davis and senior associates Faria Ali and Kurt Fisher.

Linklaters has advised CK Group (CK Infrastructure Holdings Limited, CK Asset Holdings Limited and Power Assets Holdings Limited) on the sale of UK Power Networks, a leading electricity distribution network operator in the UK, to Engie S.A.

The team was led by Corporate Partners Rob Cleaver, Henrietta White, and Namrata Shah, supported by Partners Roger Cheng and Chris Smale, Managing Associates James Huang and Catherine Sam, and Associates Isabella Monckton and Enoch Chan.
